These Terms of Service (“Terms”) govern access to and use of the Subizzy cloud platform, admin applications, APIs, and related services (collectively, the “Service”) operated by Subizzy (“Subizzy,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the business you represent. If you do not agree, do not use the Service.
Subizzy provides a proprietary software-as-a-service platform that helps businesses operate membership, booking, staff, location, payment, and customer-management workflows. Features may vary by subscription, configuration, and deployment. The Service is licensed for commercial use under these Terms and is not open source. Except as expressly permitted in writing, you may not copy, modify, distribute, sell, or reverse engineer any part of the Service.
You must provide accurate account information and keep credentials confidential. You are responsible for all activity under your account and for ensuring that only authorized personnel access your organization’s workspace. We may suspend or terminate access if we reasonably believe an account has been compromised, misused, or used in violation of these Terms.
If you use the Service on behalf of a business, you represent that you have authority to bind that business. You are responsible for your business’s compliance with applicable laws, including laws governing customer data, marketing, payments, and employment. You must obtain any required consents from your customers and staff before collecting or processing their information through the Service.
You agree not to misuse the Service. Prohibited conduct includes, without limitation:
Paid features, if offered, are billed according to your order form or in-product subscription terms. Fees are non-refundable except where required by law or expressly stated in writing. We may change pricing or features with reasonable notice. Failure to pay may result in suspension or termination of access.
Subizzy and its licensors retain all rights, title, and interest in the Service, including software, documentation, branding, and underlying technology. These Terms grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes during an active subscription or authorized period. You retain ownership of content you submit, but grant Subizzy a license to host, process, and display that content solely to provide and improve the Service.
Our handling of personal information is described in the Privacy Policy. You are responsible for the accuracy and lawfulness of data you upload and for configuring access controls appropriate to your organization.
The Service may integrate with third-party providers such as authentication, cloud hosting, analytics, and payment processors. Your use of those services may be subject to separate terms. Subizzy is not responsible for third-party products or services outside our reasonable control.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUBIZZY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUBIZZY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO SUBIZZY FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100) IF NO FEES WERE PAID.
You will defend, indemnify, and hold harmless Subizzy and its affiliates, officers, directors, employees, and agents from claims arising out of your use of the Service, your content, or your violation of these Terms or applicable law.
You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, non-payment, security risk, or discontinuation of the Service. Upon termination, your right to access the Service ends. Provisions that by nature should survive will survive, including intellectual property, disclaimers, limitation of liability, and indemnification.
We may update these Terms from time to time. Material changes will be communicated through the Service or by other reasonable means. Continued use after the effective date of updated Terms constitutes acceptance.
